EL SECRETARIO DE HACIENDA Y EL SECRETARIO DE FINANZAS RESUELVEN:
Artículo 1° — Dispónese la emisión del “BONO DE LA NACION ARGENTINA VINCULADO AL DOLAR 2,40% Vto. 2018” (BONAD 2,40% 2018) cuya ley aplicable es la de la REPUBLICA ARGENTINA, por un monto de hasta VALOR NOMINAL ORIGINAL DE DOLARES ESTADOUNIDENSES MIL MILLONES (V.N.O. U$S 1.000.000.000), con las siguientes condiciones financieras: Fecha de emisión: 18 de noviembre de 2014. Fecha de vencimiento: 18 de marzo de 2018. Plazo: TRES (3) años y CUATRO (4) meses. Moneda de denominación: Dólar Estadounidense. Moneda de Suscripción: se suscribirá en pesos utilizando el Tipo de Cambio Inicial. Moneda de Pago: se abonará en pesos utilizando el Tipo de Cambio Aplicable. Tipo de Cambio Inicial: es el tipo de cambio de referencia publicado por el BCRA en función de la Comunicación “A” 3500 correspondiente al día hábil previo a la licitación. Tipo de Cambio Aplicable: es el tipo de cambio de referencia publicado por el BCRA en función de la Comunicación “A” 3500 correspondiente al tercer día hábil previo a cada fecha de pago. Amortización: Integra al vencimiento. Interés: devengará intereses a la tasa nominal anual del DOS CON CUARENTA CENTESIMOS POR CIENTO (2,40%). El primer cupón de interés será cuatrimestral y pagadero el 18 de marzo de 2015, a partir de esa fecha los intereses serán pagaderos semestralmente los días 18 de septiembre y 18 de marzo de cada año hasta el vencimiento. Los intereses serán calculados sobre la base de un año de TRESCIENTOS SESENTA (360) días integrado por DOCE (12) meses de TREINTA (30) días cada uno. Cuando el vencimiento de un cupón no fuere un día hábil, la fecha de pago del cupón será el día hábil inmediato posterior a la fecha de vencimiento original, devengándose intereses hasta la fecha de vencimiento original. Denominación mínima: será de VALOR NOMINAL ORIGINAL DOLARES ESTADOUNIDENSES UNO (V.N.O. U$S 1). Colocación: se llevará a cabo, en uno o varios tramos, según lo determine la SECRETARIA DE FINANZAS del MINISTERIO DE ECONOMIA Y FINANZAS PUBLICAS, conforme las normas de procedimiento aprobadas por la Resolución Conjunta N° 205 de la SECRETARIA DE HACIENDA y N° 34 de la SECRETARIA DE FINANZAS de fecha 5 de junio de 2007, ambas del ex MINISTERIO DE ECONOMIA Y PRODUCCION, complementada por la Resolución Conjunta N° 65 de la SECRETARIA DE HACIENDA y N° 13 de la SECRETARIA DE FINANZAS, ambas del MINISTERIO DE ECONOMIA Y FINANZAS PUBLICAS de fecha 25 de marzo de 2014, con la modificación introducida por el Artículo 2° de la presente Resolución Conjunta. Negociación: serán negociables y se solicitará su cotización en el MERCADO ABIERTO ELECTRONICO (MAE) y en bolsas y mercados de valores del país. Titularidad: se emitirán Certificados Globales a nombre de la Central de Registro y Liquidación de Pasivos Públicos y Fideicomisos Financieros del BANCO CENTRAL DE LA REPUBLICA ARGENTINA (CRYL), en su carácter de Agente de Registro de los Bonos. Exenciones impositivas: gozarán de todas las exenciones impositivas dispuestas por las leyes y reglamentaciones vigentes en la materia. Atención de los servicios financieros: los pagos se cursarán a través del BANCO CENTRAL DE LA REPUBLICA ARGENTINA mediante transferencias de fondos en las respectivas cuentas de efectivo que posean los titulares de cuentas de registro en dicha Institución.
Art. 2° — Modifícase el punto 1.5 de las normas de procedimiento aprobadas por el Artículo 3° de la Resolución Conjunta N° 205 de la SECRETARIA DE HACIENDA y N° 34 de la SECRETARIA DE FINANZAS de fecha 5 de junio de 2007, ambas del ex MINISTERIO DE ECONOMIA Y PRODUCCION, y el punto 5 de las normas de procedimiento aprobadas por el Artículo 2° de la Resolución Conjunta N° 65 de la SECRETARIA DE HACIENDA y N° 13 de la SECRETARIA DE FINANZAS, ambas del MINISTERIO DE ECONOMIA Y FINANZAS PUBLICAS de fecha 25 de marzo de 2014, el que quedará redactado de la siguiente forma: “Monto mínimo para la presentación de ofertas: El monto mínimo para la presentación de ofertas será anunciado en el Comunicado de Prensa del llamado a licitación. En todos los casos las ofertas deberán expresarse en múltiplos de la denominación mínima del instrumento a licitar”.
